Responsibilities
Under the guidance of a senior staff, contributes independently by completing a variety of tasks assigned, covering all or a combination of the following functions:
- Reviews, negotiates and finalizes borrowing documents, including the pricing supplement or final terms, terms agreement, subscription agreement, agency agreements, instruction letters and other side letters, to ensure that the agreed terms and conditions are accurately reflected on such documents and completed within the given timeline.
- Directly coordinates with internal and external parties involved in the documentation process, including underwriters, global and fiscal agents, listing agents, internal and external counsel, rating agencies and auditors. When necessary, resolve issues with the relevant parties for the timely completion of documents to ensure the smooth settlement of transactions.
- Reviews, negotiates, and finalizes swap confirmations related to funding transactions. Ensures that the terms and conditions reflected in the swap confirmation are accurate and in accordance with the agreed terms and conditions. Ensures that swap transactions are undertaken with eligible swap counterparties and that the swap confirmations are signed by authorized signatories of both parties.
- Assists front office in the review of the terms and conditions of new borrowings to ensure that these are consistent with ADB's interest. Provides support in the assessment of new products, structures or selling and fallback provisions. Analyzes swap terms and, when necessary, ensures that this match the terms of the underlying asset or liability.
- Undertakes the necessary tasks to facilitate compliance with bond covenants such as the preparation and submission of required reports to stock exchanges and regulatory authorities and the circulation of financial statements to lead underwriters, rating agencies and other relevant parties. Provides support in the preparation of ADB's Information Statement. Ensures that all necessary filing and disclosure requirements, including the filing of the Information Statement, are completed on time and filed with the relevant regulatory bodies.
- Assists in the review and update of ADB's medium-term note program documents, flowcharts and calculation spreadsheets. Analyzes expenses related to funding operations and provides support in the assessment of contracts with agents and service providers.
- Evaluates critical processes and potential operational risks, including its impact on bond/swap documentation and settlement, particularly in relation to the division's business continuity plans. Recommends solutions to mitigate or prevent such risks. Maintains and updates list of contacts for borrowing documentation.
- Performs other functions that may be assigned and reflected in the incumbent's work plan.
Qualifications
Relevant Experience and Requirements
- Bachelor's degree in Accounting, Banking, Finance, Business Administration, Law or related disciplines, preferably with Master's degree or equivalent advanced training.
- At least 6 years of relevant professional experience, preferably in treasury, accounting, finance or risk management operations.
- Strong planning and organizing skills to handle various tasks within given deadlines.
- Strong analytical and numerical abilities with clear attention to detail.
- Excellent written and verbal communication skills in English is required.
- Sound knowledge of financial mathematics.
- Solid understanding of relevant Treasury and general policies, procedures, guidelines and reporting formats prevalent in a multilateral institution is an advantage.
- Familiarity with borrowing documentation and swap documentation requirements in line with ISDA Definitions is an advantage.
- Able to work collaboratively with teams as a constructive team member with proven interpersonal skills.
- Able to work independently within given guidelines.
